These Terms of Service ("Terms") govern your access to and use of the website at https://og-pony-llc.com (the "Site"), operated by OG PONY LLC, a Colorado limited liability company ("OG PONY," "we," "us," or "our"). The purchase of services is governed separately by our Terms of Sale and by any signed proposal or statement of work.

Acceptance of These Terms

By accessing or using the Site, you agree to be bound by these Terms and by the Privacy Policy, Cookie Policy, and Disclaimer published on the Site, each incorporated by reference. If you do not agree, you must not use the Site. If you use it on behalf of an entity, you represent that you have authority to bind that entity, and "you" refers to it. You must be at least eighteen years of age, or the age of legal majority in your jurisdiction.

Permitted Use

The Site is provided for informational and business purposes: to present the services, portfolio, and approach of OG PONY LLC, and to allow prospective clients to contact us. You may view, browse, and print pages for your own personal or internal business reference; any other use requires our prior written consent.

The contact functionality opens your own email application by means of a mailto: link, so any message is sent from your own account and under your own control. You are responsible for the accuracy and lawfulness of what you send us, and agree not to send confidential information belonging to third parties without authority to do so.

Prohibited Conduct

You agree not to, and not to permit any other person to:

  • Use the Site for any unlawful purpose or in violation of any applicable law.
  • Copy, republish, mirror, frame, scrape, or systematically extract the content or source code of the Site, manually or by automated means, except as permitted above.
  • Use any robot or crawler that imposes an unreasonable load on our infrastructure or circumvents access controls.
  • Attempt to gain unauthorized access to the Site or its hosting environment, or probe or test the vulnerability of any system.
  • Introduce viruses or malicious code, or otherwise disrupt the integrity or performance of the Site.
  • Transmit spam, unsolicited commercial communications, or fraudulent solicitations.
  • Remove, obscure, or alter any copyright, trademark, or other proprietary notice on the Site.
  • Use content from the Site, including client work in the portfolio, to train, fine-tune, or benchmark machine learning models without our prior written consent.
  • Misrepresent your identity or affiliation when contacting us.

We may investigate suspected violations and take any action we consider appropriate, including restricting access, reporting to law enforcement, and pursuing civil remedies.

Intellectual Property

The Site and all of its contents — source code, layout, text, photographs, video, three-dimensional renderings, illustrations, icons, and the OG PONY LLC name and marks — are owned by or licensed to OG PONY LLC and protected by United States copyright and trademark law and international treaties. These Terms grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site. No other right or license is granted, by implication, estoppel, or otherwise.

Client work displayed on the Site may contain trademarks and creative assets belonging to our clients or to third parties; those remain the property of their owners and appear for identification purposes only. If you send us unsolicited ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without obligation or compensation.

Third-Party Links and Resources

The Site may link to websites operated by third parties, and loads fonts and open-source libraries from public content delivery networks, for convenience and technical function only. We do not control, endorse, or assume responsibility for third-party content, products, services, or practices. Your dealings with any third party are solely between you and that party.

Availability and Changes

We may modify, suspend, or discontinue any part of the Site at any time, with or without notice, and may revise these Terms; the revised version takes effect when posted, and your continued use constitutes acceptance. We do not guarantee that the Site will be available without interruption or free of errors.

Disclaimer of Warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, OG PONY LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OG PONY LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD 100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless OG PONY LLC and its members, managers, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of your use of the Site, your violation of these Terms or of any law, or your infringement of any third party's rights. We may assume the exclusive defense of any such matter, in which case you agree to cooperate.

Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to them or to the Site are governed by the laws of the State of Colorado, United States of America, without regard to conflict-of-laws principles. The exclusive venue for any action is the state or federal courts located in Denver County, Colorado; you consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Severability and Entire Agreement

If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions will continue in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them freely. These Terms, with the Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and OG PONY LLC regarding the Site, superseding any prior understanding.
